Terms of Service
Last updated: [effective date]
Please read these terms carefully. They explain your responsibilities and ours when you use Multichannel Inventory.
1. The agreement
These terms are an agreement between you (and, where you act for a business, that business) and [company legal name] (“we”, “us”) for the use of Multichannel Inventory (the “Service”), a software-as-a-service application for managing inventory, marketplace listings and orders.
By creating an account or using the Service you accept these terms. If you accept them for an organization, you confirm you are authorised to do so. Our Privacy Policy explains how personal data is handled.
2. Accounts and organizations
- You must give accurate information and keep your email address up to date.
- Keep your password confidential. You are responsible for activity under your account; tell us promptly if you suspect unauthorised access.
- Organization Owners and Admins decide who joins their organization and which role each person has, and are responsible for removing access that is no longer needed.
- The Service is for business use and not for children.
3. Marketplace connections
You may connect only marketplace accounts that you own or are authorised to manage, using credentials you are entitled to use. You remain responsible for complying with each marketplace's own terms, policies and API rules.
The Service reads listings and orders from connected marketplaces. It changes marketplace stock quantities only when your organization enables stock updates for a connection, and only within the controls you choose (for example Manual review or Automatic mode).
4. Acceptable use
You must not:
- access or try to access data of another organization, or bypass permissions or security controls;
- use the Service for unlawful purposes, or to process data you have no right to process;
- probe, scan, overload or disrupt the Service or the marketplaces it connects to;
- reverse engineer the Service except where the law allows it;
- resell or provide the Service to third parties without our written permission;
- upload malicious code or content that infringes the rights of others.
5. Your data and accuracy
You keep all rights to the data you or your organization put into the Service. You allow us to process it only to provide, secure and support the Service.
The Service is a tool: it calculates stock, reservations and marketplace quantities from the data and settings you provide. You are responsible for checking that stock counts, SKU mappings, reconciliation decisions and stock-sync settings are correct before relying on them, and for decisions made with the Service, including what is sold and shipped.
6. Third-party services and marketplace changes
The Service depends on third-party systems, in particular marketplace APIs. Marketplaces can change, limit or withdraw their APIs, data or terms at any time, and can reject or delay updates. We are not responsible for third-party services, their availability or their actions, and features that depend on them may change or stop working as a result. We will make reasonable efforts to adapt.
7. Availability and changes to the Service
We aim to keep the Service available and reliable but do not promise that it will be uninterrupted or error-free. We may perform maintenance, and we may add, change or remove features. [service levels, if any are offered]
8. Suspension and termination
You can stop using the Service at any time and ask us to close your account by contacting support@stockdaddy.online.
We may suspend or end access if you breach these terms, if your use creates a security or legal risk, or if we are required to do so by law. Where reasonable we will tell you first. After termination we handle your data as described in the Privacy Policy. [data export window after termination]
9. Intellectual property
The Service, its software, design and documentation belong to us or our licensors. These terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is active. Feedback you send may be used to improve the Service without obligation to you.
10. Disclaimers and limitation of liability
To the extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including fitness for a particular purpose.
To the extent permitted by law, we are not liable for indirect or consequential losses, or for loss of profits, revenue, sales, data or goodwill, including losses caused by marketplace actions, incorrect stock or listing data, or interruptions of the Service. Our total liability for all claims relating to the Service is limited to [liability cap].
Nothing in these terms limits liability that cannot be limited by law.
11. Changes to these terms
We may update these terms. We will update the date at the top and, for material changes, give account holders notice by email or in the application before they take effect. Continuing to use the Service after that means you accept the updated terms.
12. Governing law
These terms are governed by the laws of [governing law / jurisdiction], and disputes are handled by the courts of [courts], unless the law where you live requires otherwise.
